TERMS OF SERVICE

1. ACCEPTANCE OF TERMS

By accessing, browsing, or using the DropshipSeek software, website, and services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms").

IF YOU DO NOT AGREE TO THESE TERMS, INCLUDING THE MANDATORY ARBITRATION PROVISION AND CLASS ACTION WAIVER, YOU MAY NOT USE THE SERVICE.

These Terms are a legal agreement between you ("User" or "You") and [COMPANY] ("Company", "We", "Us", or "DropshipSeek").

2. NATURE OF SERVICE & AI DISCLAIMER (CRITICAL READ)

DropshipSeek is a research tool, not a financial advisor. You explicitly acknowledge and agree to the following regarding our AI and Data technologies:

2.1 No Guarantee of Profit

The Service provides data analysis, "Competition Scores," and product recommendations based on historical data, third-party APIs (such as AliExpress and Google Trends), and Artificial Intelligence (OpenAI). We do not guarantee that any product found via DropshipSeek will be profitable, sellable, or successful. Dropshipping involves inherent financial risk. You are solely responsible for your business decisions.

2.2 AI Accuracy & "Hallucinations"

Our "Trend Prediction Engine" and AI descriptions are generated by probabilistic algorithms. You acknowledge that:

  • AI Errors: The AI may produce inaccurate, outdated, or entirely fabricated information ("hallucinations").
  • Data Latency: "Real-time" scans may be subject to API delays from third-party providers.
  • Verification: You are responsible for verifying all product details (pricing, shipping times, dimensions, and trademark status) with the actual supplier on AliExpress or other platforms before listing them.

2.3 Limitation of Liability for Ad Spend

UNDER NO CIRCUMSTANCES SHALL DROPSHIPSEEK BE LIABLE FOR ANY MARKETING COSTS, ADVERTISING SPEND (META ADS, TIKTOK ADS, GOOGLE ADS, ETC.), OR INVENTORY COSTS INCURRED BY YOU BASED ON OUR RECOMMENDATIONS. If you spend funds on ads for a product our AI recommended and it generates no sales, DropshipSeek is not liable for that loss.

3. ACCOUNTS AND SUBSCRIPTIONS

3.1 Account Security

You are responsible for maintaining the confidentiality of your login credentials. You may not share your account. We reserve the right to terminate accounts that share login details (e.g., "Group Buys").

3.2 Analytics and User Tracking

After registration, we track your actions and usage patterns on the Service for analytics and product improvement purposes. This includes but is not limited to: page views, feature usage, interaction patterns, click paths, scroll depth, and performance metrics. We may use third-party analytics and experience tools (such as Google Analytics and Contentsquare or similar session-replay/experience analytics providers) to help us understand how the Service is used. For users in the European Economic Area (EEA), non-essential analytics tools are only activated after you provide consent via our cookie consent system.

3.3 Billing & Stripe

We use Stripe, Inc. ("Stripe") for payment processing. By subscribing, you agree to Stripe’s terms of service.

  • Subscription Plans: You agree to pay the fees associated with your selected plan (e.g., Monthly or Yearly).
  • Automatic Renewal: Your subscription will automatically renew at the end of each billing cycle unless cancelled at least 24 hours prior to the renewal date.

3.4 Free Trials

If you register for a free trial (e.g., 7 Days), you will be automatically charged the subscription fee upon the expiration of the trial period unless you cancel prior to the end of the trial.

3.5 REFUND POLICY & RIGHT OF WITHDRAWAL (EU/CROATIA)

STRICT NO REFUND POLICY. Because DropshipSeek provides immediate access to proprietary digital content and data:

  • Waiver of Withdrawal Right: By subscribing and accessing the Service, you expressly consent to the immediate performance of the contract and acknowledge that you lose your right of withdrawal (the standard 14-day cooling-off period under EU/Croatian consumer law) once access to the digital content has begun.
  • All Sales Final: All payments are non-refundable. We do not offer refunds for partial months, lack of usage, or "forgotten" subscriptions.
  • Service Provided As-Is: You agree that the purchase is for the access to the tool "as-is" and is not contingent on the financial results of your dropshipping business.

4. INTELLECTUAL PROPERTY & DATA USAGE

4.1 Our Content

The "DropshipSeek" name, logo, proprietary algorithms, competition scoring logic, and UI are the exclusive property of [COMPANY].

4.2 Scraped Data

The Service aggregates data from public sources (e.g., AliExpress). We do not claim ownership of the underlying product images or descriptions from third-party platforms. You are granted a limited, non-exclusive license to use this data for your personal e-commerce market research.

4.3 Generated Content (Shopify Exports)

You own the rights to the specific AI-generated product descriptions you export to your store, subject to the terms of the underlying AI providers (OpenAI).

5. THIRD-PARTY PLATFORMS

5.1 Shopify Integration

Our "One-Click Export" feature utilizes the Shopify API. We are not responsible for:

  • Errors in product syncing.
  • Changes to Shopify's API that break functionality.
  • Suspension of your Shopify store due to the products you choose to list.

5.2 AliExpress/Suppliers

DropshipSeek is not a supplier. We do not handle shipping, fulfillment, or returns. Any dispute regarding product quality or shipping times is strictly between you and the AliExpress supplier.

5.3 Trademark & Copyright Violations

Our AI may scan products that infringe on intellectual property rights (e.g., unlicensed merchandise). It is your sole responsibility to check products for trademark infringement. [COMPANY] is not liable if you are sued for copyright infringement based on a product you found on our platform.

6. PROHIBITED USES

You agree not to:

  • Scrape the Scraper: Use automated bots or scripts to extract data from DropshipSeek in bulk.
  • Resell Data: Sell, rent, or sub-license our data or reports to third parties.
  • Reverse Engineer: Attempt to derive the source code or algorithms of our "Trend Prediction Engine."

7. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL [COMPANY], ITS AFFILIATES, OR THEIR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

IN NO EVENT SHALL THE COMPANY’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID THE COMPANY DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. GOVERNING LAW & DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of Croatia, without regard to its conflict of law provisions.

Any dispute arising from these Terms shall be resolved through binding arbitration in Zagreb, Croatia (or another location in Croatia as determined by [COMPANY]).

10. CHANGES TO TERMS

We reserve the right to modify these Terms at any time. We will provide notice of significant changes via email or a prominent notice on the dashboard. Your continued use of the Service constitutes acceptance of the new Terms.
